Oil Consultants Website Terms and Conditions:
- INTERPRETATION

In this Contract unless the context otherwise requires:
"We" "our" and "us" means Oil Consultants Ltd;
"Registered Consultant" means any person who has registered their CV on our website;
"Registered Recruiter" means any person who has registered for access to the consultant database via our website;
"Contract" means the agreement between us and you incorporating these conditions, the registration form displayed and completed online and the Price List;
"You" means the customer we make this Contract with. It includes a person who we reasonably believe is acting with the customer's authority or knowledge;
"Information" means the visual, textual or other information published or otherwise made available (directly or indirectly) on the Internet using the Service;
"the Service" means the service provided by us whereby you can EITHER: display your CV as a professional consultant. OR: Search for, and contact, consultants using our online database. AND: Where applicable, any services and facilities which we provide and you use in connection with the Service.
"CV" means Curriculum Vitae, a brief account of ones previous career. - These conditions and the registration form displayed and completed online set out the entire agreement between you and us for the provision of the Service.

In this Contract unless the context otherwise requires:
- PROVISION OF THE SERVICE
- We agree to provide you with the Service on the terms and conditions of this Contract:
- We cannot guarantee that the Service will never be faulty but we will correct reported faults as soon as we reasonably can. If a fault occurs you should report the fault by telephone, electronic mail or in writing to the appropriate customer service helpdesk, details of which will be provided.
- We may vary the technical specification of the Service from time to time.
- SECURITY
- In order to access the Service you will be issued with a unique password. You are responsible for the security and proper use of the password relating to the Service and must take all necessary steps to ensure that the password is kept confidential, secure, used properly and not disclosed to other people.
- You must inform us immediately if you have any reason to believe that any password has become known to someone not authorised to use it or if any password is being or is likely to be used in an unauthorised way.
- If we have reason to believe that there is likely to be a breach of security or misuse of the Service we may change your password and notify you accordingly.
- If you forget any password, you will be given a new password via e-mail or telephone to enable you to use the Service.
- You agree to notify us immediately of any changes to the information you give to us when registering for the Service.
- You confirm and warrant that all the information supplied by you when you register on-line for the Service is true, complete and accurate in all respects.
- USE OF THE SERVICE
- You warrant that the Information is true and correct to the best of your knowledge. In particular, you warrant that all claims to licences, certificates and diplomas are genuine.
- The Service must not be used:
- fraudulently or in connection with a criminal offence;
- to send, receive, upload, download, use or re-use any material which is offensive, abusive, indecent, defamatory, obscene or menacing, or in breach of copyright, confidence, privacy or any other rights;
- to cause annoyance, inconvenience or needless anxiety;
- to send unsolicited advertising or promotional material; or
- other than in accordance with the acceptable use policies of any connected networks and the Internet Standards.
- If anyone other than you uses the Service with or without your knowledge or approval in contravention of any of paragraphs 6.1 - 6.3 inclusive we can treat such contravention as a breach by you of this Contract for the purposes of paragraph 8 which shall apply accordingly.
- You must tell us immediately if any third party makes or threatens to make any claim or issue legal proceedings against you relating to your use of the Service and you will, at our request, immediately stop the act or acts complained of. If we ask you to, you must confirm the details of the claim(s) in writing.
- If we suspend the Service for contravention of any of paragraphs 6.1 - 6.3 inclusive, we will not restore it until we receive an acceptable assurance from you that there will be no further contravention.
- You must ensure that your contact details e.g. e-mail address and phone number are included in a clear and legible form when registering with us, for receipt of any enquiries regarding the information which appears within your registration or CV.
- By Registering with Oil Consultants, you consent to the collection and use of your personal information by Oil Consultants. Registered consultants agree to allow recruiters access to their personal information as and when required. Personal information may also be used by us to occasionally notify you about important functionality changes to our Web site, new services and special offers.
- We cannot guarantee, either expressly or by implication that registered consultants will obtain employment by use of our website.
- We cannot guarantee to registered recruiters, either expressly or by implication that registered consultants suitable for employment will be located using our website.
- RESTRICTIONS ON USE.

The Service is provided solely for your own use. You must not re-sell or attempt to re-sell the Service (or any part or facility of it) or password access to any third party.
- IF YOU BREAK THIS CONTRACT
- In addition to anything else we can do, we can suspend the provision of the Service to you or end this Contract (or both) with immediate effect on giving you notice if:
- you break any provision of this Contract;
- we believe the Service is being used in a manner prohibited under paragraphs 6 or 7.1 even if you are unaware that the Service is being used in such a way;
- If we delay in acting upon a breach of this Contract by you, that delay will not be regarded as a waiver of the breach. If we waive a breach of this Contract by you, that waiver is limited to the particular breach.
- In addition to anything else we can do, we can suspend the provision of the Service to you or end this Contract (or both) with immediate effect on giving you notice if:
- ENDING THE CONTRACT AFTER THE SERVICE IS PROVIDED

At any time after the Service has been provided this Contract or the provision of any
service or facility under it may be ended by:
- One month's notice from us to you; or
- One month's notice from you to us.
- Self removal of your details from our website using the 'delete' button provided.
- ARBITRATION

Any dispute arising under this Contract which does not involve a complicated issue of law an issue of quantification or of mitigation of loss or a sum exceeding 5,000 pounds sterling (or such other sum as we may from time to time specify) may be referred to arbitration by the Chartered Institute of Arbitrators under procedures agreed between us and the Institute.
- LIABILITY
- We cannot be and are not responsible in any way for any telecommunications systems or networks, which are used to connect to our site.
- In performing any obligation under this Contract, our duty is only to exercise the reasonable care and skill of a competent consulting agency.
- We exclude all liability of any kind for the transmission or reception of any information you have provided for display on the web site, of whatever nature.
- We exclude all liability of any kind for the Information or any other material published or otherwise made available by you or any other person on our web site.
- We are not liable whether in contract, tort (including liability for negligence) or otherwise for the acts or omissions of other providers of telecommunication services or for faults in or failures of their apparatus.
- We are not liable in contract, tort or otherwise (including liability for negligence) for loss whether direct or indirect of business revenue or profits, anticipated savings or wasted expenditure, corruption or destruction of data or for any indirect or consequential loss whatever.
- Our liability in contract, tort or otherwise (including liability for negligence) under or in connection with this Contract is limited to three hundred pounds sterling for any event or related series of events.
- Each provision of this paragraph 11 operates separately in itself and survives independently of the others.
- INDEMNITY

You must indemnify us against any claims or legal proceedings arising from the use of the Service under this Contract (including, but not limited to claims in respect of defamation, breach of copyright or other intellectual property right infringement) which are brought or threatened against us by another person.
- VARIATION OF TERMS AND CONDITIONS

We may change the terms and conditions of this Contract at any time and we will give you 14 days notice of such changes before they take effect.
- ASSIGNMENT

You are not allowed to transfer or attempt to transfer this Contract in whole or in part.
- FORCE MAJEURE

We cannot accept any liability to the extent to which the fulfilment of our obligations is prevented, frustrated or impeded as a consequence of any statute, rules, regulations, or as a result of strikes, lock-outs or industrial action of any kind, fire, accident, civil disturbance, weather, act of god, orders or requisitions by any Government department, council or other competent authority or any other circumstances beyond our control.
- GIVING NOTICE

Notices given under this Contract may be given on-line by electronic mail using the Service, or in writing and delivered by hand or pre-paid post to the addressee at the following address:
- Parsons House, Parsons Industrial Estate, Washington, NE37 1EZ, England, UK. Or any alternative address which we notify to you at any time.
- To you: the address you specify when registering for the Service any alternative address which you notify to us at any time or, if you are a limited company, your registered office.
- LAW/JURISDICTION

This Contract is governed by English Law and you and we submit to the exclusive jurisdiction of the English courts.
